1. Acceptance of Terms

By accessing or using the SourcePath Systems platform, website, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

SourcePath provides AI-powered physical environment compliance assessment services for healthcare facilities, including:

• Digital Life Safety Code mock surveys
• Regulatory intelligence and code interpretation
• Continuous compliance monitoring
• Portfolio-level compliance analytics
• Documentation review and gap analysis

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Intellectual Property

Our IP

The SourcePath platform, including its AI models, algorithms, methodologies, user interface, documentation, and all related intellectual property, is owned exclusively by SourcePath Systems, Inc. Nothing in these Terms grants you ownership of any SourcePath IP.

Your Data

You retain all ownership rights to the facility documentation, data, and materials you upload to our platform ("Your Data"). By uploading, you grant SourcePath a limited, non-exclusive license to process Your Data solely for the purpose of providing the Services to you.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble any part of the platform
• Share account credentials with unauthorized parties
• Upload malicious code or attempt to compromise system security
• Use the Services to develop competing products
• Resell, sublicense, or redistribute the Services without written authorization
• Use automated tools to scrape or extract data from the platform

6. Service Limitations and Disclaimers

We do not guarantee:

• That use of our Services will result in a deficiency-free survey
• That our assessments will identify every possible deficiency
• That regulatory interpretations will match those of every surveyor
• Uninterrupted or error-free operation of the platform

7. Payment Terms

Fees for Services are as described in your service agreement or the pricing displayed at the time of purchase. Unless otherwise stated:

• Subscription fees are billed in advance on a monthly or annual basis
• One-time assessment fees are due upon delivery of the report
• All fees are non-refundable unless otherwise specified in your agreement
• We reserve the right to modify pricing with 30 days' notice

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCEPATH'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO SOURCEPATH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SOURCEPATH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9. Indemnification

You agree to indemnify and hold harmless SourcePath, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate the service relationship:

• With 30 days' written notice for subscription services
• Immediately for material breach that remains uncured after 15 days' notice
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, your access to the platform will be revoked and your uploaded data will be available for export for 30 days, after which it will be deleted.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Minneapolis, Minnesota.

12. Modifications

We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
